By activating or using the B24U AI-widget on your website, you (“Client”) accept this License Offer, B24U Terms of Service, and Privacy Policy (GDPR).
Activation via the Partner link constitutes legal acceptance.
2. License Grant
Globerint Pte. Ltd. grants the Client a non-exclusive, non-transferable license to use the AI-widget on the Client’s website, solely for lawful purposes.
All intellectual property rights remain with Globerint Pte. Ltd..
3. Payment
Client pays B24U directly via Stripe (USD or EUR).
B24U will calculate and transfer Partner commission according to agreed rates.
Use of the AI-widget constitutes acceptance of the subscription plan and fee.
4. Data Processing and GDPR
The AI-widget may process personal data of Visitors (IP, messages, interactions).
Client is Data Controller, B24U acts as Data Processor.
Data is processed only to:
Provide and maintain the AI-widget;
Improve AI services;
Perform anonymized analytics.
Data will not be shared for marketing purposes without consent.
5. Restrictions
Copy, modify, or reverse-engineer the AI-widget;
Share it outside the licensed website;
Use it for illegal or prohibited purposes;
Install or use the AI-widget on any URL other than the specific web resource (URL) registered for the Client on the Platform. A web resource is identified by its URL, which may include a domain, subdomain, path, or any combination thereof (e.g., example.com, shop.example.com, example.com/blog). Each such URL constitutes a separate licensed entity (Client). Use of an AI-widget activated for one URL on any other URL constitutes a material breach of this License Offer and shall result in immediate suspension of access without refund. A separate subscription is required for each URL.
5A. Client Configuration and Lead Delivery Responsibility
5A.1. Nature of the Tool. The B24U AI-widget and Platform are software-as-a-service tools provided to the Client on an "AS IS" basis. They do not, and cannot, guarantee the capture, routing, timely delivery or integrity of leads. Business outcomes depend on the joint actions of the Client, visitors of the Client's website and third-party services such as messengers, advertising accounts, web forms, CRM systems, telephony, marketplaces, on-site chats, payment systems and any other third-party services (collectively, "External Services").
5A.2. Client's Responsibility. The Client is solely responsible for:
selecting and connecting lead sources and External Services;
providing and keeping up to date all access credentials (API keys, tokens, webhook URLs, OAuth scopes);
configuring routing, field mapping, access rights, filters, deduplication, pipelines and any other lead-processing parameters;
end-to-end testing of lead capture and delivery prior to production use and after any change made on the Client's side or on any External Service;
continuous monitoring of integration health and actual capture and delivery of leads;
obtaining all consents from visitors of the Client's website required under the GDPR.
5A.3. Duty to Notify Promptly. If the Client reasonably believes that a lead-handling failure is caused by a defect in the AI-widget or Platform itself, the Client shall notify B24U through the support channels within five (5) business days from becoming aware (or when the Client should have become aware) of such failure. Failure to notify within this period shall be an independent ground for rejecting any claim related to missed, corrupted, delayed or misrouted leads for the relevant period.
5A.4. External Services Beyond Provider's Control. B24U does not control and shall not be liable for any acts or omissions of External Services, including outages, rate limits, anti-spam filters, suspensions, sanctions, policy or pricing changes, API or data-format changes, or account bans applied to the Client by such services.
5A.5. No Speed-of-Delivery Guarantees. B24U makes no commitment to capture, route or deliver leads within any specific timeframe, including within any number of minutes, seconds, or in real time. Any references to "instant", "real-time", "immediate", "live" or similar lead delivery in marketing materials, documentation, screenshots or the Platform interface are descriptive only, do not constitute warranties, and shall not be construed as a service-level agreement (SLA) regarding the speed of lead capture, routing or delivery.
6. Liability
The AI-widget is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by applicable law, B24U disclaims all warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
To the maximum extent permitted by applicable law, B24U shall not be liable for any indirect, incidental, special, punitive or consequential damages, including without limitation lost profits, lost revenue, lost business opportunities, loss of data or goodwill, claims by visitors or any third parties, or any losses arising out of missed, uncaptured, undelivered, corrupted, duplicated or misrouted leads, configuration errors on the Client's side, or any acts or omissions of External Services.
B24U does not guarantee uninterrupted access, accuracy of AI-generated content, or the capture or delivery of any specific lead.
Nothing in this Section shall exclude or limit any liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or rights of data subjects under the GDPR that cannot be contracted out.
7. Termination
B24U may suspend access if:
License terms are breached;
Illegal or prohibited use occurs;
Complaints arise from Visitors or authorities;
Subscription fees are unpaid.
Termination does not absolve Client from obligations to pay outstanding fees.
Voluntary unilateral cancellation by the Client does not constitute grounds for a refund of any fees already paid. The paid subscription period remains active until its expiration, after which the subscription will not be renewed. Refunds are provided solely in cases expressly required by applicable law or in the event of a billing error attributable to B24U.
8. Force Majeure
B24U is not responsible for delays or interruptions caused by:
Natural disasters, war, terrorism;
Internet/cloud outages;
Governmental actions beyond reasonable control.
9. Governing Law
Singapore law governs this License Offer.
Disputes are resolved first amicably, then in Singapore courts if necessary.
