B24U Terms of Service – End User (Europe) (v2)

1. General Terms

1.1. These Terms of Service (“Terms”) govern the use of AI-widgets provided by Globerint Pte. Ltd. (“B24U”) by end-users (“Client”) via a Partner (distributor).

1.2. By activating and using the AI-widget, the Client accepts these Terms, the B24U License Agreement, and Privacy Policy.

1.3. The AI-widget is licensed, not sold. B24U retains all intellectual property rights.

2. Definitions

• B24U Platform – the SaaS platform enabling Partners to create and manage AI-widgets.
• Client – the end-user (website owner) who receives and uses the AI-widget via a Partner.
• Visitor – a person visiting the Client’s website and interacting with the AI-widget.
• License – the right granted to the Client to use the AI-widget under the selected subscription plan.

3. License Grant

3.1. B24U grants the Client a non-exclusive, non-transferable license to use the AI-widget on the Client’s website, solely for lawful purposes.

3.2. The Client may not:

• Reverse-engineer, copy, or modify the AI-widget code;
• Share the AI-widget with third parties outside of the agreed subscription;
• Use the AI-widget for illegal or prohibited activities;
• Install or use the AI-widget on any URL other than the specific web resource (URL) registered for the Client on the Platform. A web resource is identified by its URL, which may include a domain, subdomain, path, or any combination thereof (e.g., example.com, shop.example.com, example.com/blog). Each such URL constitutes a separate licensed entity (Client). Installation or use of an AI-widget activated for one URL on any other URL (including a different subdomain, a different path, or a different domain belonging to the same owner) constitutes a material breach of these Terms and shall result in immediate suspension of access to the AI-widget without refund. To use the AI-widget on multiple web resources, a separate subscription must be obtained for each URL.

4. Payment and Subscription

4.1. Payment for the AI-widget is handled either via the Partner or directly via B24U, depending on the chosen subscription model.

4.2. Subscription fees, payment currency (USD or EUR), and billing are described in the Partner-provided invoice or B24U platform.

4.3. Continued use of the AI-widget after payment due date constitutes acceptance of subscription renewal under the current plan.

5. Data Processing and GDPR Compliance

• 5.1. Client acknowledges that using the AI-widget may involve the collection, storage, and processing of personal data of Visitors on the Client’s website.
• 5.2. B24U acts as a data processor under GDPR, processing data on behalf of the Client.
• 5.3. Personal data may be used to:
  • Provide and maintain AI-widget functionality;
  • Improve AI services and platform performance;
  • Conduct anonymized analytics.
• 5.4. B24U will not transfer personal data outside the EU/EEA except for technical processing via cloud servers or AI APIs (e.g., OpenAI), with appropriate safeguards.
• 5.5. The Client remains responsible as data controller under GDPR, including informing Visitors and obtaining necessary consents.

6. Limitation of Liability

• 6.1. B24U is not liable for:
  • Indirect, incidental, or consequential damages;
  • Losses from improper use by Client or Visitors;
  • Accuracy or outcomes of AI-generated content.
• 6.2. The AI-widget is provided “as is”; B24U does not guarantee uninterrupted access or perfect performance.

7. Termination

• 7.1. B24U may suspend or terminate Client access in case of:
  • Breach of these Terms;
  • Illegal use of the AI-widget;
  • Complaints from Visitors or third parties;
  • Non-payment of subscription fees.
• 7.2. Termination does not release the Client from obligations to pay outstanding fees.
• 7.3. Voluntary unilateral cancellation by the Client does not constitute grounds for a refund of any fees already paid. The paid subscription period remains active until its expiration, after which the subscription will not be renewed. Refunds are provided solely in cases expressly required by applicable law or in the event of a billing error attributable to B24U.

8. Marketing Use of Data

8.1. By activating, paying for, or using the AI-widget, the Client accepts these Terms in their entirety (including this section) and grants B24U full and unconditional consent to use the following materials for marketing, advertising, and promotional purposes:

• Platform usage statistics (leads, conversations, conversions);
• Named business cases identifying the Client and website domain;
• Screenshots of interfaces and widgets;
• Logos and trade names;
• Video recordings (interviews, success stories, demonstrations);
• Testimonials, quotes, and recommendations.

8.2. B24U shall not publish Client's financial figures, trade secrets, personal data of website Visitors, or information about security vulnerabilities.

8.3. The Client may request removal of specific named materials from B24U's own platforms (removed within 10 business days). B24U is not obligated to recall materials published by third parties. This does not apply to aggregated or anonymized statistics.

8.4. B24U's marketing rights survive termination of these Terms.

8.5. The Client is solely responsible for monitoring the current version of these Terms on B24U's website. Continued use of the AI-widget after publication of an updated version constitutes acceptance of the changes.

9. Force Majeure

B24U is not liable for delays or failures due to:

• Natural disasters, wars, terrorism, cyber-attacks;
• Internet outages, cloud provider failures;
• Government actions.

10. Governing Law and Dispute Resolution

• These Terms are governed by Singapore law.
• Disputes shall first attempt to be resolved amicably.
• Failing resolution, disputes are referred to Singapore courts.
